GRIFFON CORPORATION ANNOUNCES SUBCONTRACT AWARD FROM SYRACUSE RESEARCH CORPORATION --- INITIAL RELEASE COULD EXCEED $20 MILLION --- TOTAL PROGRAM WILL EXCEED $150 MILLION

JERICHO, NEW YORK, October 27, 2005–Griffon Corporation (NYSE:GFF) announced today that Telephonics Corporation, the company’s electronic information and communication systems subsidiary, has received a subcontract award from Syracuse Research Corporation (SRC) for the turnkey production of an SRC product. The initial release on this subcontract could exceed $20 million in value with the first system delivery in December 2005. Under the structure of the joint cooperation agreement with SRC, Telephonics total share of all production for the program will exceed $150 million.

SRC is an independent, not-for-profit research and development leader focused on technology programs of national significance. Telephonics will provide supply chain management, technical support as well as production support during the life of the contract.
